Terms of Service

1. Introduction
Welcome to deAPI ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our API services, website, and any related services (collectively, the "Service") provided by CoinAxe Ltd, a company registered in Malta with its registered office at Dragonara Business Centre, 5th Floor, Dragonara Road, St. Julians STJ 3141, Malta.
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service.
2. Account Registration
To use our Service, you must create an account using one of our supported authentication methods:
- Social login (Google): Your email is automatically verified through the authentication provider
- Email registration: You must verify your email address by clicking the verification link sent to your inbox
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.1 Email Verification Requirement
For accounts created via email registration, email verification is required to access full account functionality, including:
- Promotional credits ($20 welcome bonus)
- API key generation and usage
- Credit purchases
- Full dashboard access
Until your email is verified, your account will have limited functionality. Verification links expire after 24 hours, but you may request a new verification email at any time.
2.2 Your Responsibilities
You agree to:
- Provide accurate, current, and complete information during registration
- Use a valid email address that you have access to
- Complete email verification promptly to activate your account
- Maintain and promptly update your account information
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
3. API Usage and Credits
3.1 Promotional Credits
New users receive $20 in complimentary credits upon completing account verification. For email-registered accounts, promotional credits are activated only after successful email verification. For social login accounts (Google), credits are activated immediately as your email is pre-verified.
These promotional credits must be used within 90 days of account creation (not verification date), after which any unused credits will expire and be removed from your account. Promotional credits have no cash value, cannot be transferred, exchanged, or redeemed for cash, and are non-refundable.
3.2 Purchased Credits
Additional credits can be purchased through our available payment methods. Purchased credits do not expire while your account remains active and in good standing. Credits have no cash value and cannot be transferred to other accounts.
3.3 Refund Policy
Digital Service Commencement: By purchasing credits, you expressly consent to the immediate provision of digital services and acknowledge that you thereby lose your right of withdrawal under EU Consumer Rights Directive 2011/83/EU Article 16(m). You will be asked to confirm this consent during the checkout process.
Refund Eligibility: Refunds may be provided at our sole discretion in the following limited circumstances:
- Service unavailability exceeding 48 consecutive hours due to our technical issues
- Billing errors or duplicate charges
- Credits not properly applied to your account after purchase
- Where required by applicable law
Unused Credits: Purchased credits are non-refundable once any portion has been used. Promotional credits ($20 welcome bonus) are never refundable.
Refund Process: To request a refund, contact our support within 14 days of purchase with your transaction details. Approved refunds will be processed to the original payment method within 5-10 business days.
4. Payment Terms and Billing
4.1 Payment Processing
All payments are processed by our third-party payment processor, Stripe, Inc. ("Stripe"). By providing your payment information, you authorize us to charge your payment method for all purchases made through the Service. You also authorize Stripe to process your payment information in accordance with Stripe's Services Agreement and Privacy Policy.
4.2 Billing Authorization
By purchasing credits, you:
- Authorize us to charge your selected payment method immediately upon purchase
- Confirm that all payment information provided is accurate and complete
- Acknowledge that you are authorized to use the payment method
- Agree to pay all charges at the prices then in effect
4.3 Currency and Pricing
All prices are displayed and charged in US Dollars (USD). If your payment method uses a different currency, your financial institution will handle the conversion at their current exchange rate. We are not responsible for any currency conversion fees or exchange rate differences.
4.4 Failed Payments
If a payment fails, we may retry the charge using the information on file. You are responsible for ensuring your payment information is current and valid. We reserve the right to suspend or terminate your access to the Service if payment cannot be processed after reasonable attempts.
4.5 Invoices and Tax
Electronic invoices will be provided via your account dashboard and sent to your registered email address. All amounts are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes, including VAT, sales tax, or other governmental levies imposed on your purchase. EU business customers may provide a valid VAT number for reverse charge mechanism where applicable.
4.6 Stored Payment Methods
If you choose to save your payment method for future purchases, you authorize us to store your payment credentials securely through Stripe and to charge your saved payment method for future credit purchases you initiate. You may remove stored payment methods at any time through your account settings. We do not store your full card number or CVV - this information is securely held by Stripe.
4.7 Payment Disputes
If you believe a charge is incorrect, please contact our support team within 60 days of the transaction. We will investigate and work to resolve legitimate billing disputes promptly. We encourage you to contact us directly before filing a chargeback with your bank, as we can often resolve issues more quickly.
Please note that filing a chargeback or payment dispute with your bank without first attempting to resolve the issue with us may result in temporary suspension of your account pending investigation. Fraudulent chargebacks may result in permanent account termination and forfeiture of remaining credits.
5. Distributed Infrastructure and Data Privacy
Important Notice: Our Service utilizes a distributed network of third-party computers that are not owned or controlled by deAPI. When you submit requests through our API, your data may be processed on these third-party systems.
Due to the distributed nature of our infrastructure:
- We cannot guarantee the confidentiality of data processed through our Service
- You should not submit sensitive, confidential, or personally identifiable information
- Generated content may be retained on third-party systems beyond our control
- You acknowledge and accept these risks when using our Service
6. Acceptable Use Policy
You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and third-party rights. You agree not to use the Service to:
- Generate content that infringes on intellectual property rights
- Create content for commercial purposes without proper licensing or authorization
- Produce illegal, harmful, threatening, abusive, or objectionable content
- Violate any local, state, national, or international law
- Impersonate any person or entity or misrepresent your affiliation
- Interfere with or disrupt the Service or servers/networks connected to the Service
- Attempt to gain unauthorized access to any portion of the Service
- Use the Service for any illegal or unauthorized purpose
7. Intellectual Property Rights
You retain all rights to the input data you provide to our Service. For content generated through our Service, you are responsible for ensuring you have the necessary rights and licenses for your intended use.
You must not create, generate, or distribute content that:
- Infringes on copyrights, trademarks, or other intellectual property rights
- Violates publicity, privacy, or other personal rights
- Contains proprietary information without authorization
- Misappropriates trade secrets or confidential information
8. Disclaimers and Limitations
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- The results obtained from the Service will be accurate or reliable
- The quality of any products, services, or content will meet your expectations
- Any errors in the Service will be corrected
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEAPI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS OR $100, WHICHEVER IS GREATER.
10. Indemnification
You agree to defend, indemnify, and hold harmless deAPI and its affiliates, officers, employees, agents, partners, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Service.
11. Termination
11.1 Termination by Us
We may terminate or suspend your account for:
- Breach of these Terms of Service
- Fraudulent or illegal activity
- Non-payment or payment disputes
- Extended period of inactivity (12+ months with no API usage)
- As required by law or court order
11.2 Termination by You
You may terminate your account at any time through your account settings or by contacting support. Upon voluntary termination, unused purchased credits will remain available for 30 days to allow for final API usage, after which they will expire.
11.3 Effect of Termination
Upon termination:
- Your right to access the Service ceases immediately (or after 30 days for voluntary termination)
- API keys are revoked and cannot be restored
- For termination due to breach of Terms: all credits are forfeited immediately
- For voluntary termination: purchased credits remain accessible for 30 days
- Promotional credits are always forfeited upon termination
- We will delete or anonymize your personal data as per our Privacy Policy, subject to legal retention requirements
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
13. Governing Law
These Terms shall be governed and construed in accordance with the laws of Malta, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Malta for any disputes arising out of or relating to these Terms or your use of the Service.
14. EU Consumer Rights
14.1 Right of Withdrawal
Under EU law, consumers normally have 14 days to withdraw from online purchases. However, this right does not apply to our Service because: (a) credits provide immediate access to digital content and services, and (b) by purchasing, you expressly consent to immediate performance and acknowledge that you lose your withdrawal right.
14.2 Dispute Resolution
EU consumers may use the European Commission's Online Dispute Resolution platform available at https://ec.europa.eu/consumers/odr. We prefer to resolve disputes directly - please contact us first through our support channels.
14.3 Statutory Rights
Nothing in these Terms affects your statutory rights as a consumer under applicable EU and Malta law, which cannot be waived or limited by contract.
15. Data Processing Terms
When you submit data through our API that contains personal information, we act as a data processor on your behalf. You remain the data controller responsible for compliance with applicable data protection laws, including obtaining necessary consents from data subjects.
Important: Due to our distributed infrastructure, we cannot guarantee that personal data will not be processed on third-party systems. You should not submit sensitive personal data (including special category data under GDPR) through our Service. For detailed data processing terms, please refer to our separate Data Processing Agreement available upon request.
